TERMS AND CONDITIONS OF USE

Acceptance of the Terms

These Terms and Conditions of Use (the “Terms”) constitute a legal agreement between you and INTUITO COLOMBIA S.A.S., a company identified with NIT 901.664.945-2 and domiciled in Bogotá D.C., Colombia (hereinafter, “INTUITO COLOMBIA”, “CraftOS” or “we”), governing access to and use of the CraftOS platform, available through www.craftos.dev and any associated application, software or service (collectively, the “Services”).

By accessing or using the Services, you represent that: (i) you have read and understood these Terms; (ii) you agree to be bound by them; (iii) you accept our Personal Data Processing Policy; and (iv) you undertake to comply with all applicable regulations. If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind it, and in such case the expressions “you” and “your” shall refer to such entity.

We may modify these Terms at any time. For material changes, we shall provide prior notice at least thirty (30) days in advance by email or through the Platform, unless a shorter period is necessary to comply with the law or to address a security risk. Continued use of the Services after the changes take effect constitutes acceptance of the modified Terms.

If you are under eighteen (18) years of age, you are not authorized to use the Services, unless you have the consent and supervision of your father, mother or legal representative, and solely to the extent permitted by applicable law.

Definitions

  • CraftOS or the Platform: the SaaS technology platform owned by INTUITO COLOMBIA S.A.S., which allows Applications to be created through artificial intelligence (Builder Mode) and published on a Marketplace.
  • Builder: a user who uses CraftOS Builder Mode to create an Application by means of natural language instructions, and who may choose to use it privately or publish it on the Marketplace.
  • Purchasing User or End User: a person who browses the Marketplace, acquires plans or Executions, and uses an Application published by a Builder.
  • Application or App: the software resulting from the creation process in Builder Mode, comprised of an interface and operating logic that may include one or more steps consuming artificial intelligence.
  • Marketplace: the space within the Platform where Builders publish their Applications, setting their own plans and prices, so that Purchasing Users may find, acquire and use them.
  • Builder Mode: the CraftOS interface through which a Builder describes in natural language the Application it wishes to build and receives an operational interface and operating logic, including the necessary integrations with artificial intelligence providers.
  • Builder Balance: the prepaid balance that a Builder tops up in its account to cover the cost of the artificial intelligence requests it consumes within Builder Mode when building or modifying an Application. Unlike the monthly subscription credits of other platforms, the Builder Balance is not forfeited at the end of the month or upon each renewal of the period; it remains available for twelve (12) months counted from the date of each top-up, as provided in the section “Free Requests and Builder Balance”.
  • Execution: each unit of use consumed when a published Application performs a processing operation involving one or more artificial intelligence steps, whether such processing is initiated by the Builder itself or by a Purchasing User subscribed to or authorized to use the Application.
  • Virtual Wallet: the balance of Executions that a Purchasing User accrues with respect to a given Application, whether through the purchase of a package of Executions or through the claiming of the free plan offered by the Builder, and which is consumed as the Purchasing User runs such Application.
  • Plan: each of the commercial modalities that a Builder may configure for its Application (for example, Free, Basic, Standard, Premium or Pay per Execution), with their respective prices, periodicity and number of included Executions.
  • Marketplace Commission: the percentage of the revenues generated by the sale of Plans or Executions of an Application on the Marketplace that CraftOS retains, with the remainder corresponding to the Builder.
  • Prompt: any instruction, description or content that a Builder or a Purchasing User enters into the Platform or into an Application in order to obtain a result generated by artificial intelligence.
  • AI Output: any code, text, content or result generated by the artificial intelligence models used by CraftOS or by the Applications, whether during the building process in Builder Mode or during the execution of a published Application.
  • AI Providers: the third-party providers of artificial intelligence models (for example, large language models) upon which CraftOS relies to build and run the Applications.
  • User Content: any information, data, file, prompt, configuration (including each Application’s own “system prompt”) or material that a Builder or Purchasing User uploads, enters or generates through the Services.

General Description of CraftOS

CraftOS is a Marketplace of Applications created with artificial intelligence, in which Builders may publish Applications that incorporate their specialized knowledge and specific automations, so that other users may acquire and use them.

CraftOS operates through two complementary components: (i) Builder Mode, in which any person may create an Application by describing in natural language what they wish to build, without the need to write code; and (ii) the Marketplace, in which Builders may publish their Applications, set their own Plans and prices, and make them available to Purchasing Users. A Builder may, alternatively, elect to use their Application on a strictly private basis, without publishing it.

At least three actors participate in the operation of CraftOS: (i) CraftOS, as provider of the technology platform and operator of the Marketplace; (ii) the Builder, who creates and, where applicable, publishes an Application; and (iii) the Purchasing User, who acquires and uses a published Application.

Summary of the Main Aspects

This summary is provided for informational purposes only and neither replaces nor limits the content of these Terms:

  • Only registered users may operate as a Builder or as a Purchasing User on CraftOS. You are solely responsible for the activity of your account and for the confidentiality of your password.
  • Builders freely set the prices and Plans of their Applications.
  • Purchasing Users pay in advance to acquire a Plan or package of Executions.
  • CraftOS withholds a Marketplace Commission on the sales of each Application; the remainder corresponds to the Builder.
  • The Builder bears the artificial intelligence cost both when building their Application and when executing it, regardless of who executes it.
  • Builders act as independent creators vis-à-vis CraftOS, without any employment, agency or corporate relationship.
  • Each person may maintain only one active account on CraftOS, unless expressly authorized otherwise.
  • Users may not offer or accept payments outside the Platform in order to circumvent the Marketplace Commission.

Eligibility and Account Registration

To use the Services you must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, and have the legal capacity to enter into binding contracts. Upon creating an account, you undertake to provide truthful, complete and up-to-date information, to keep it current, and to be responsible for the confidentiality of your access credentials and for all activity occurring under your account. You must notify us immediately of any unauthorized use of your account.

The same person may register as a Builder, as a Purchasing User, or in both capacities, but may only maintain one (1) active account in each capacity, unless expressly authorized by CraftOS. The creation of additional accounts for the purpose of circumventing these Terms, obtaining undue advantages, or deceiving other users of the Platform, shall give rise to the deactivation of all related accounts. CraftOS accounts are personal and non-transferable; you may not purchase, sell or assign your account to a third party. We reserve the right to refuse registration, or to suspend or cancel an account, in the cases set forth in these Terms.

Builder Mode: Creation of Applications with Artificial Intelligence

Builder Mode allows any Builder to describe, in natural language, the Application they wish to build. Based on such description, CraftOS automatically generates an operational interface and operating logic, including the steps and connections required with AI Providers.

Once the first version has been generated, the Builder may: (i) adjust the “system prompt” or other parameters specific to their Application; (ii) upload their own knowledge, criteria, templates or work models within the generated interface; and (iii) request additional modifications by means of natural language instructions (for example, design changes, the addition of new steps, or adjustments to the Application’s logic).

Free Requests and Builder Balance

CraftOS allows a limited number of Application building or modification requests to be made free of charge. Once such limit has been exceeded, the Builder must top up their Builder Balance in order to continue using Builder Mode. The Builder Balance is prepaid, is consumed in accordance with the artificial intelligence requests made by the Builder, and each top-up remains available for one (1) year counted from the date on which it was acquired; upon expiration of such term, the unconsumed balance of that top-up shall expire, without prejudice to the provisions of the section “Suspension and Termination of Accounts” of these Terms.

The cost of each request within Builder Mode includes a margin over the cost of the corresponding AI Provider; CraftOS does not bill the Builder the exact cost of such provider without a margin. Absent manifest error, CraftOS’s and its payment processor’s usage metering and billing records shall be deemed final and binding.

Nature of the AI Output

AI Output generated during Builder Mode may contain errors, omissions or inaccuracies, and shall not be used without the Builder’s independent review, testing and validation prior to its private use or its publication on the Marketplace. CraftOS does not warrant that the AI Output is unique, free of third-party rights, accurate, or fit for a particular purpose. Similar or identical outputs may be generated for different Builders entering similar instructions. The consumption of the Builder Balance for each AI request is non-refundable and non-recoverable, even if the AI Output turns out to be erroneous, incomplete or must be regenerated, unless otherwise provided by applicable law.

Builder Mode Restrictions

In using Builder Mode, you agree not to, and not to permit third parties to:

  • Use Builder Mode to generate Applications for unlawful, fraudulent or defamatory purposes, or purposes that infringe third-party rights.
  • Use automated tools (bots, scrapers, crawlers) to access Builder Mode without CraftOS’s express authorization.
  • Share their access credentials or permit unauthorized access to their account.
  • Use Builder Mode, its Prompts or its AI Output to train, develop or improve artificial intelligence models that compete with those of CraftOS or its AI Providers.
  • Circumvent or attempt to disable the Platform’s security, usage metering or access controls.

The Application Marketplace

Publishing an Application on the Marketplace is free of charge: CraftOS does not charge the Builder for listing its Application. Upon publishing, the Builder defines the title, description, category, and the Plans and prices of its Application, which may include, among others: a Free Plan, Basic Plan, Standard Plan, Premium Plan, and/or a Pay-per-Execution scheme.

Search and Application Offer Page

Buyer Users may search and filter published Applications by category or other criteria enabled by the Platform. Each Application has an offer page that includes its description, Plans and prices, and a chat button that allows the Buyer User to communicate directly with the Builder, whether to request updates on Applications in its portfolio, or to request the development of a customized Application.

Virtual Wallet and Consumption of Executions

In order to use a published Application, the Buyer User must purchase a paid Plan or claim the Free Plan offered by the Builder. Upon doing so, its Virtual Wallet with respect to such Application is credited with the number of Executions corresponding to the Plan purchased or claimed. Each time the Buyer User processes the Application, one Execution is deducted from its Virtual Wallet. When the Execution balance is exhausted, the Buyer User must purchase a new Plan or package of Executions in order to continue using the Application.

Recurring subscription Plans (for example, Basic, Standard or Premium) renew automatically at the end of each billing period, unless the Buyer User cancels prior to the renewal date from its account settings. The Builder may define whether unused Executions from one period carry over to the following period or are forfeited upon renewal of the subscription; such condition shall be disclosed on the Application’s offer page.

Independence of the Builder

The Buyer User acknowledges and accepts that it engages with each Builder as an independent creator, and not as an employee, agent, representative or partner of CraftOS. Neither the Buyer User nor CraftOS exercises control, direction or supervision over the manner in which the Builder develops, configures or maintains its Application. CraftOS does not participate in defining the content, the logic, or the expert knowledge incorporated into the Applications, and is not responsible for their accuracy, quality, legality or outcome. Where an Application incorporates advice or specialized knowledge (for example, in legal, financial, accounting, medical or similar matters), CraftOS neither warrants nor endorses such content, and the Buyer User acknowledges that any decision adopted on the basis of the AI Output of such Application is its sole responsibility.

Confidentiality between Builder and Buyer User

Where a Buyer User uploads documents, files or information through an Application, the corresponding Builder shall treat such information as confidential, and may use it solely for the purpose inherent to the Application, refraining from disclosing, copying or reusing it for any other purpose without the Buyer User’s authorization. This obligation is understood without prejudice to the additional obligations incumbent upon the Builder pursuant to the CraftOS Data Processing Policy, where such information constitutes personal data.

Fees, Marketplace Commission and Artificial Intelligence Costs

Publishing an Application on the Marketplace is free of charge. On the revenues generated by the sale of Plans or Executions of a published Application, CraftOS shall withhold a Marketplace commission equivalent to thirty percent (30%), with the remaining seventy percent (70%) corresponding to the Builder. CraftOS may adjust this percentage in the future, upon prior notice in accordance with the provisions of the section “Amendments to the Terms”.

The Builder shall bear the cost of the use of artificial intelligence (calls to AI Providers) generated in the following two scenarios: (i) during the construction or modification of its Application in Builder Mode, charged against its Builder Balance; and (ii) during each Execution of its already published Application, regardless of whether such Execution is initiated by the Builder itself or by a Purchasing User who has acquired a Plan or Executions. Consequently, the revenues that the Builder receives from the sale of Plans and Executions in the Marketplace must be sufficient to cover the artificial intelligence cost associated with each Execution, it being the Builder’s sole responsibility to set prices that are profitable for its operation.

CraftOS does not pass on to the Builder the exact cost, without margin, of the AI Provider corresponding to each Execution, but rather applies an additional margin over such cost. The Builder Balance used in Builder Mode and the artificial intelligence costs associated with the Execution of published Applications are concepts independent of one another.

Payments are processed through a payment gateway or external processor designated by CraftOS. By making a purchase, you accept the additional terms of such processor. Taxes, fees, or levies applicable to the transactions (such as VAT or other taxes) shall be borne by the party to whom they correspond pursuant to the tax regulations in force, and shall be displayed, where applicable, at the time of payment.

Credits, Executions, and Refund Policy

The Builder Balance and the Executions acquired by Purchasing Users are prepaid in nature and, unless applicable law provides otherwise, are neither refundable nor redeemable for cash. They constitute solely a limited license for the use of the Services, and do not represent deposits, stored value, or financial instruments. Each top-up of the Builder Balance expires twelve (12) months after having been acquired, in accordance with the provisions of the section “Builder Mode”.

If CraftOS terminates the account of a Builder or of a Purchasing User for material breach of these Terms, or for fraud or abuse, the remaining Builder Balance or Executions shall be forfeited, unless applicable law requires otherwise. If the Builder or Purchasing User voluntarily cancels its own account or subscription, the remaining balance shall remain available until the end of the current billing period, unless these Terms or the specific offering of the Application provide otherwise.

Intellectual Property

CraftOS’s Ownership of the Technical Implementation

CraftOS (and its licensors) owns all rights in the Platform, Builder Mode, the Application generator, the Marketplace, the infrastructure, the software, the source code, the databases, the algorithms, the interfaces, and any other materials developed or made available by CraftOS (the “CraftOS Materials”), together with their improvements, modifications, and derivative developments. Given that the code and technical implementation of each Application are generated, hosted, and operated exclusively by CraftOS, without the Builder having access to such code, such technical implementation shall also form part of the CraftOS Materials, regardless of the particular Application for which it was generated. CraftOS is likewise the owner of the usage and telemetry data (“Usage Data”) generated by the use of the Services, and may use it to operate, analyze, and improve the Platform.

Builder’s Ownership of Its Know-How and Configuration

Notwithstanding the foregoing, the Builder retains ownership of its specialized knowledge, criteria, methodologies, instructions, proprietary prompts, and other configurations and inputs that it contributes for the creation of its Application (the “Builder Know-How”), as well as of the documents, templates, or work models that it uploads into the generated interface. The Builder Know-How is what distinguishes its Application from all others and constitutes the expression of its professional experience applied to a specific task.

By publishing an Application in the Marketplace, the Builder grants CraftOS a non-exclusive, worldwide, royalty-free license to materialize its Know-How in the technical implementation of the Application, and to host, operate, display, distribute, and make such Application available to Purchasing Users. In consideration thereof, CraftOS grants the Builder an exclusive license, for so long as it maintains its account active and its Application published, to commercialize its Know-How through the Marketplace and to receive the consideration agreed upon in the section “Fees, Marketplace Commission, and Artificial Intelligence Costs”.

If a Builder’s account is terminated or its Application is removed from the Marketplace, CraftOS may keep the technical implementation of such Application in operation for the reasonable time necessary to serve the Purchasing Users who already hold valid Plans or Executions, without this giving rise to any additional compensation in favor of the Builder, other than amounts already accrued pursuant to the Marketplace Commission.

Feedback

If you provide us with suggestions, ideas, or comments regarding the Services (“Feedback”), you agree that we may freely use, copy, modify, and exploit them, without restriction or compensation in your favor, and without any obligation of confidentiality.

Prohibited Content and Uses

In using CraftOS, you undertake not to create, publish, distribute, or use Applications that:

  • Contain sexually explicit, pornographic, or adult material.
  • Offer illegal or fraudulent services, or facilitate identity theft, phishing, or extortion.
  • Infringe copyrights, trademarks, or other intellectual property rights of third parties, or violate a third party’s terms of service.
  • Contain or distribute malicious code, viruses, or any harmful mechanism.
  • Facilitate harassment, hate speech, discrimination, or improper, violent, or threatening language toward other users.
  • Promote the resale of regulated goods or services without holding the corresponding licenses or authorizations.
  • Promote the sale or manufacture of weapons, explosives, or illegal drugs.
  • Facilitate betting, gambling, or lotteries without holding the licenses required in the applicable jurisdiction.
  • Constitute or promote pyramid schemes, financial fraud, or that guarantee investment results.
  • Offer legal, financial, accounting, or medical advice presenting results as guaranteed, without the warnings, professional licenses, or disclaimers required by applicable regulations.
  • Publish or disclose private or confidential information of third parties without their authorization, or process personal data in a manner contrary to the CraftOS Data Processing Policy.
  • Are designed to induce Buyer Users to pay outside the Platform in order to circumvent the Marketplace Commission.
  • Use the name, logos, or trademarks of CraftOS, or of other Builders, in a manner that suggests a nonexistent affiliation, endorsement, or sponsorship, or that implies a false identity or profile.
  • Send unsolicited communications (spam) through the chat or other functionalities of the Platform, or request contact information in order to communicate outside of CraftOS.

CraftOS reserves the right to remove, suspend, or reject the publication of any Application that, in its reasonable judgment, fails to comply with the foregoing, as well as to suspend or terminate the account of the responsible Builder or Buyer User, without prejudice to any other legal actions that may be applicable. The user affected by a moderation decision may request its review within the following six (6) months, by writing to the contact email indicated in these Terms.

Ratings and Reviews

The ratings and reviews that Buyer Users publish regarding the Applications must correspond to legitimate acquisitions and may not be manipulated, purchased, or conditioned by the Builder in exchange for additional benefits. CraftOS may remove reviews that constitute a clear breach of these Terms.

Service Availability, Third Parties, and Beta Features

CraftOS provides the Services using a combination of proprietary technology and technology from external providers, including AI Providers and cloud infrastructure providers. Because we do not fully control such third parties, we cannot guarantee the uninterrupted availability, performance, or security of the Services. You understand and accept that interruptions, delays, or errors may occur, and that CraftOS shall not be liable for those attributable to such third parties or to events beyond its reasonable control (including force majeure events).

Occasionally, CraftOS may make available functionalities identified as beta, preview, or experimental (“Beta Features”), which may be incomplete, modified, suspended, or discontinued without prior notice, are provided “as is” and “as available,” and are excluded from any support or indemnification commitment.

Disclaimer of Warranties

THE SERVICES (INCLUDING BUILDER MODE, THE MARKETPLACE, THE APPLICATIONS, AND ALL AI OUTPUT) ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMINA GRANTS NO EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LUMINA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR THAT THE AI OUTPUT WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR THE USE INTENDED BY THE BUILDER OR THE BUYER USER.

Indemnification

You hereby undertake to indemnify and hold CraftOS harmless from any claim, damage, loss, or expense (including reasonable attorneys’ fees) arising from: (i) your breach of these Terms; (ii) the User Content or the Applications that you create, publish, or use; (iii) your breach of applicable regulations; (iv) your improper or abusive use of the Services; or (v) any claim related to the nature of the relationship between the Builder and the Buyer User as an independent creator.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMINA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE USE OF THE SERVICES OR FROM THESE TERMS. NOTWITHSTANDING THE FOREGOING, LUMINA’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO LUMINA IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM. NOTHING IN THIS CLAUSE LIMITS LUMINA’S LIABILITY IN CASES WHERE COLOMBIAN LAW DOES NOT PERMIT ITS LIMITATION OR EXCLUSION, INCLUDING CASES OF WILLFUL MISCONDUCT OR GROSS NEGLIGENCE.

Suspension and Termination of Accounts

You may terminate your account at any time from your account settings. CraftOS may suspend or terminate your account or your access to the Services, with prior notice where possible, or immediately and without prior notice where there is a reasonable suspicion of a material breach of these Terms, fraud, illegal or abusive activity, or where necessary to comply with the law or to address a security risk.

Termination shall not limit any other remedies available to CraftOS, and you shall remain obligated to pay all amounts accrued through the effective date of termination. Upon termination, your right to access the Services shall cease, without prejudice to those provisions which by their nature are intended to survive (including intellectual property, disclaimer of warranties, indemnification, limitation of liability, and governing law).

Dispute Resolution between Builders and Purchasing Users

CraftOS encourages Builders and Purchasing Users to resolve directly between themselves any dispute relating to the quality, performance, or outcome of an Application, using the chat channel available on the Application’s offer page. If such direct handling does not prove satisfactory, either party may contact the CraftOS support team to request additional assistance. CraftOS may, at its discretion and without any obligation to do so, facilitate the resolution of the dispute, but assumes no contractual liability for its outcome, without prejudice to the obligations incumbent upon it as operator of the Platform.

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Republic of Colombia. Any dispute arising out of these Terms or the use of the Services that cannot be resolved directly between the parties shall be submitted to the competent courts of Bogotá D.C., Colombia, without prejudice to the consumer protection rules that may be applicable in favor of the Purchasing User.

Amendments to the Terms

CraftOS may amend these Terms at any time to reflect changes in its operations, in the Platform’s business model, or in applicable regulations, including adjustments to the Marketplace Commission or to artificial intelligence costs. Material changes shall be notified at least thirty (30) days in advance by email or through the Platform, indicating their effective date.

General Provisions

Assignment

You may not assign or transfer these Terms without the prior written consent of CraftOS. CraftOS may assign or transfer these Terms, in whole or in part, without restriction.

Waiver

The failure of CraftOS to enforce any provision of these Terms shall not constitute a waiver of its right to do so at a later time.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with the CraftOS Data Processing Policy, the CraftOS Copyright Policy, and any additional rules that CraftOS may publish for specific functionalities, constitute the entire agreement between you and CraftOS with respect to the Services, and supersede any prior agreement or understanding on the same subject matter.

Notices

CraftOS may notify you by email associated with your account, notifications within the Platform, or postings on its website. You are responsible for keeping your email address up to date.

Interpretation

The titles and headings used in these Terms are included solely for ease of reading and do not alter or modify the content of the corresponding clauses. The official language of these Terms is Spanish; any translation into another language is provided solely for the user’s convenience and, in the event of any discrepancy, the Spanish version shall prevail.
